Welcome to SpeechCircle! These Terms of Service (“Terms”) govern your access to and use of the SpeechCircle Chrome extension (“Extension”), the website located at speechcircle.app (“Website”), and all related services, features, content, and applications offered by SpeechCircle (“we,” “us,” “our,” or “SpeechCircle”) (collectively, the “Services”).
Please read these Terms carefully before using our Services. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy (available at http://speechcircle.app/privacy-policy), which is incorporated by reference into these Terms. If you do not agree to these Terms, you may not access or use our Services.
SpeechCircle provides a Chrome Extension designed to allow users to input text into various AI platforms (such as ChatGPT, Claude, Perplexity, etc.) via voice transcription. The speechcircle.app Website provides information about the Extension, allows users to create and manage accounts, and subscribe to our Services.
Eligibility: You must be at least 13 years old to create an account and use our Services. If you are under the age of majority in your jurisdiction, you represent that your legal guardian has reviewed and agreed to these Terms.
Account Creation: To access certain features of the Services, particularly subscription management, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
Account Responsibility: You are responsible for safeguarding your account password and for any activities or actions under your account, whether or not you have authorized such activities or actions. You agree to notify us immediately of any unauthorized use of your account.
One Account Per User: Each user is permitted to have only one account.
You agree not to misuse the Services. You will not, and will not permit any third party to:
Subscription Plans: We offer various subscription plans for the Services. Details of the current subscription plans, including pricing and features (such as usage limits, e.g., transcription minutes), are available on our Website.
Billing: You will be billed in advance on a recurring and periodic basis (e.g., monthly or annually), depending on the subscription plan you select. Payments are processed through our third-party payment processor, Stripe. By providing payment information, you authorize us (through Stripe) to charge all subscription fees due for your chosen plan to your designated payment method.
Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle for the same duration unless you cancel it through your account settings on the Website or by contacting us at [email protected] before the end of the current subscription period.
Cancellations: You may cancel your subscription at any time. If you cancel, your subscription will remain active until the end of your current paid billing period, and you will not be charged for subsequent periods. No refunds will be issued for partial subscription periods except as explicitly stated in our Refund Policy below.
Refund Policy: We offer refunds for subscription fees under the following conditions:

We will provide you with reasonable prior notice of any price changes by posting the new prices on the Website or sending you an email notification. Price changes will take effect at the start of the next subscription period following the date of the price change. Your continued use of the Service after the price change comes into effect constitutes your agreement to pay the modified subscription fee amount.
Free Trials: We may, at our sole discretion, offer a free trial for a limited period. If you are on a free trial, your access to the Services may be limited. We may terminate or modify any free trial offer at any time without prior notice and without liability. If you do not cancel before the end of the free trial period, you may be automatically charged the applicable subscription fee for the plan selected.
Our IP: The Services, including the SpeechCircle Extension, Website, their visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and all other elements of the Services (“Materials”) are protected by intellectual property and other laws. All Materials contained in the Services are the property of SpeechCircle or our third-party licensors. Except as expressly authorized by SpeechCircle, you may not make use of the Materials.
License to You: Subject to your compliance with these Terms, SpeechCircle grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Extension on a compatible device that you own or control, and to access and use the Website, solely for your personal or internal business purposes.
Your Content: You retain ownership of any original content you create or input while using the Services (e.g., your spoken words). However, by using the Services to transcribe audio, you understand that this audio is processed by third-party services (OpenAI, Google Cloud) as described in our Privacy Policy.
The Services may integrate with or provide links to third-party websites, applications, or services (e.g., AI platforms like ChatGPT, Claude; transcription services like OpenAI and Google Cloud; payment processors like Stripe). We do not control and are not responsible for these third-party services, their content, their privacy policies, or their practices. Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties.
Termination by You: You may terminate these Terms at any time by canceling your subscription and ceasing all use of the Services.
Termination by Us: We may suspend or terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately, if we believe, in our sole discretion, that you have violated these Terms or engaged in any activity that is harmful to us, our Services, or other users. Reasons for termination may include, but are not limited to, non-payment of fees, illegal activity, or prolonged inactivity.
Effect of Termination: Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. If your account is terminated, we may, in our sole discretion, delete your account and any data associated with it, subject to our Privacy Policy and applicable law.
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (A) THE SERVICES WILL BE SECURE, ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (B) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; OR © ANY DEFECTS IN THE SERVICES WILL BE CORRECTED.
YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SPEECHCIRCLE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SERVICES OR ANY MATERIALS OR CONTENT ON THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SPEECHCIRCLE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF SPEECHCIRCLE TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICES OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF: (A) THE TOTAL AMOUNT OF FEES, IF ANY, PAID BY YOU TO SPEECHCIRCLE FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (USD $100.00).
You agree to defend, indemnify, and hold harmless SpeechCircle and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms; © your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Services.
Governing Law: These Terms shall be governed by and construed in accordance with the laws of Russia, without regard to its conflict of law provisions.
Informal Dispute Resolution: We want to address your concerns without needing a formal legal case. Before filing a claim against SpeechCircle, you agree to try to resolve the dispute informally by contacting us at [email protected]. We’ll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within thirty (30) days of submission, you or SpeechCircle may bring a formal proceeding.
Formal Dispute Resolution: Any disputes arising out of or relating to these Terms or the Services that are not resolved by informal negotiation shall be subject to the exclusive jurisdiction of the competent courts located in Russia.
Class Action Waiver: YOU AND SPEECHCIRCLE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Changes to Terms: We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days’ notice prior to any new terms taking effect, such as by posting on our Website or sending you an email. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SpeechCircle concerning the Services and supersede all prior or contemporaneous communications and proposals (whether oral, written, or electronic) between you and SpeechCircle.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
No Waiver: Our failure to enforce any part of these Terms shall not constitute a waiver of our right to later enforce that or any other part of these Terms.
Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null. We may assign or transfer these Terms, at our sole discretion, without restriction.
